CraftFlow Referral Program Terms and Conditions

These Terms and Conditions ("Terms") and the Referral Program (as defined below) are effective as of September 1, 2025, through October 15, 2025.

The CraftFlow October 2025 Referral Program ("Referral Program") allows current Craft Technologies Inc. ("CraftFlow", "we", "us", or "our") customers, partners, and associated professionals (collectively, "Referrer(s)" or "you") to earn rewards for referring potential customers of CraftFlow's AI-powered field service management platform, subject to these Terms. CraftFlow and Referrer may hereinafter be referred to together as the "Parties" and each, a "Party".

1. DEFINITIONS

1.1 "Demo Completion" means a Referred Prospect who schedules and completes a product demonstration with CraftFlow's sales team within thirty (30) days of the referral submission.

1.2 "Ideal Customer Profile" means a prospective customer whose business: (a) operates in the home services industry (HVAC, plumbing, electrical, or similar trades); (b) has at least 5 field service technicians; (c) operates in the United States or Canada; and (d) meets any other criteria as established by CraftFlow in its reasonable discretion.

1.3 "Customer Conversion Reward" means the payment of One Thousand Five Hundred Dollars ($1,500) payable to Referrer when a Referred Prospect becomes a paying CraftFlow customer with an executed agreement before October 15, 2025.

1.4 "Demo Incentive" means the payment of One Hundred Fifty Dollars ($150) payable to the Referred Prospect upon completion of a qualified product demonstration.

1.5 "Referral Procedure" means the Referrer must submit a prospective customer through one of the following methods: (a) sharing their unique referral link (craftflow.com/r/[code]); (b) submitting a direct referral through the CraftFlow webapp referral form; or (c) any other means established by CraftFlow.

1.6 "Referred Customer" means a Referred Prospect who: (a) completes a demo; (b) executes a written agreement for CraftFlow services before October 15, 2025; and (c) makes their first payment under such agreement.

1.7 "Referred Prospect" means a prospective customer that, in CraftFlow's sole judgment, satisfies each of the following conditions:

• meets the Ideal Customer Profile;
• is submitted into the Referral Program in accordance with the Referral Procedure;
• has not previously purchased and is not currently subscribed to CraftFlow services;
• is not in active sales discussions with CraftFlow at the time of referral or during the prior six (6) months;
• has not been previously referred by another party during the prior sixty (60) days;
• is not a "self-referral" (not employed by or affiliated with the Referrer);
• is otherwise acceptable to CraftFlow as a Referred Prospect.

1.8 "CraftFlow Services" means the CraftFlow AI-powered field service management platform, including AI Ridealong, Call Center AI, and related services.

2. REFERRAL REWARDS

2.1 Demo Incentive for Referred Prospect. For each Referred Prospect that schedules and completes a demo with CraftFlow within thirty (30) days of referral submission, the Referred Prospect will receive a one-time payment of $150, subject to verification and these Terms.

2.2 Customer Conversion Reward for Referrer. For each Referred Prospect that converts to a Referred Customer before October 15, 2025, CraftFlow will pay the Referrer $1,500.

2.3 Payment Terms. Payments will be made within thirty (30) days after the qualifying event (demo completion or customer conversion). CraftFlow may require W-9 or other tax documentation before processing payments. Payments over $600 in a calendar year will be reported to the IRS via Form 1099.

2.4 Multiple Referrals. If multiple parties claim a referral for the same prospect, CraftFlow will determine the valid referrer based on the earliest qualified submission date. Only one referral reward will be paid per Referred Customer.

3. PROGRAM RULES

3.1 Eligibility. The Referral Program is open to current CraftFlow customers, partners, and individuals who agree to these Terms. CraftFlow employees and their immediate family members are not eligible.

3.2 Geographic Limitations. This program is valid only for Referred Prospects located in the United States and Canada.

3.3 Program Period. All referrals must be submitted between September 1, 2025, and October 15, 2025. Referred Prospects must complete their demo and sign agreements within the program period to qualify for rewards.

3.4 Reservation of Rights. CraftFlow reserves the right to: (a) refuse service to any prospect; (b) modify or terminate the Referral Program at any time; (c) disqualify any referral that violates these Terms or appears fraudulent.

4. COMPLIANCE AND CONDUCT

4.1 Legal Compliance. You agree to comply with all applicable federal, state, and local laws, including anti-spam laws, privacy regulations, and FTC endorsement guidelines.

4.2 Prohibited Conduct. You may not: (a) make false or misleading claims about CraftFlow; (b) engage in spamming or unsolicited communications; (c) use paid advertising to generate referrals without prior approval; (d) create fake or duplicate referrals.

4.3 FTC Disclosure. When promoting the Referral Program on social media or other channels, you must clearly disclose your material connection to CraftFlow using appropriate hashtags such as #CraftFlowPartner or #Sponsored.

5. TAX RESPONSIBILITIES

You are solely responsible for any taxes owed on referral rewards. CraftFlow will issue appropriate tax forms (1099-MISC or 1099-NEC) for US persons receiving $600 or more in a calendar year. International participants may be subject to withholding.

6. PRIVACY AND DATA PROTECTION

By participating in the Referral Program, you agree to CraftFlow's Privacy Policy. You warrant that you have obtained necessary consents before sharing any prospect's contact information with CraftFlow.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRAFTFLOW'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE REFERRAL PROGRAM SHALL NOT EXCEED THE TOTAL REFERRAL REWARDS PAID TO YOU. CRAFTFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

8. INDEMNIFICATION

You agree to indemnify and hold CraftFlow harmless from any claims, damages, losses, or expenses arising from: (a) your breach of these Terms; (b) your violation of any laws or third-party rights; (c) any disputes regarding referral attribution.

9. DISPUTE RESOLUTION

Any disputes arising from the Referral Program shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. The arbitration shall be held in San Francisco, California, or virtually at CraftFlow's discretion.

10. GENERAL PROVISIONS

10.1 Entire Agreement. These Terms constitute the entire agreement regarding the Referral Program and supersede all prior agreements or understandings.

10.2 Modifications. CraftFlow reserves the right to modify these Terms at any time. Continued participation after changes constitutes acceptance of modified Terms.

10.3 Governing Law. These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.

10.4 Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force.

10.5 No Agency. Nothing in these Terms creates an employment, agency, joint venture, or partnership relationship between you and CraftFlow.
